Terms of Service

These Terms of Service ("Terms") govern your access to and use of Baud Runner, located at baudrunner.com ("Baud Runner" or "the Site"), and any purchase you make through it. Baud Runner is a storefront operated by Defensible Logic, Inc. ("Defensible Logic, Inc.", "we", "us", or "our"). By creating an account, placing an order, downloading a file, or otherwise using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Defensible Logic, Inc. also operates a separate consulting business at defensiblelogic.com. That business is not Baud Runner, and these Terms apply only to the Site and to goods sold through it.

1. Acceptance of these Terms

By using the Site you accept these Terms in full, together with our Privacy Policy, our License, our Refunds & Returns policy, and our Shipping policy, each of which is incorporated by reference. If any of these documents conflict on a specific point, the document most specific to that point controls; in particular, the License governs your use of digital files.

2. Eligibility, accounts, and account security

To purchase goods or to claim a free file, you must create an account using a valid email address and a password. You must be old enough and legally able to form a binding contract in your jurisdiction to use the Site.

We store your password only as a salted hash; we never store it in plaintext and cannot recover it for you. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. You agree to provide accurate account and order information and to keep it up to date. Notify us at support@defensiblelogic.com if you believe your account has been accessed without your authorization. We keep your order history tied to your account.

3. The goods we sell

Baud Runner is a maker and hardware business. We sell two kinds of goods, and a single order may contain both:

  • Digital goods — 3D-printable model files (STL files) and similar digital downloads. Digital goods are licensed, not sold (see Section 7 and the License).
  • Physical goods — manufactured hardware that we hold in finite stock and ship to you (see Section 8 and our Shipping policy).

We make reasonable efforts to describe goods accurately, but we do not warrant that descriptions, images, specifications, or availability are error-free or complete.

4. Orders, pricing, and currency

Prices and any applicable shipping options and costs are shown at checkout in the displayed currency. Your placement of an order is an offer to buy, which we may accept or decline. We may, to the extent permitted by law, decline or cancel any order, or limit quantities, for any reason — including suspected fraud, pricing or description errors, payment problems, stock limitations on physical goods, or a customer's breach of these Terms. If we cancel an order that has already been paid, we will refund the amount charged for the cancelled portion.

You are responsible for any taxes, duties, or charges that apply to your order except where we state we collect them at checkout.

5. Payment

Online payments are handled by Stripe through Stripe Checkout, on Stripe-hosted payment pages. You enter your card details directly with Stripe, not with Baud Runner. We never receive, store, or process raw card numbers; card data and the associated PCI scope sit with Stripe, which acts as a third-party payment processor and data subprocessor. Stripe's handling of your information is governed by its own terms and privacy notice, available at Stripe's privacy terms.

We store order records, amounts, payment status, and Stripe reference identifiers — never card numbers. For some customers we also support off-Stripe settlement (for example, invoice, wire, cash, or consignment) at our sole discretion. Off-Stripe settlement is offered case by case and is not a right of any customer. For details on what we collect and how we use it, see our Privacy Policy.

6. Delivery of digital goods

Purchased and claimed digital files are delivered as secure, tokenized download links. Each download grant has a finite download count and may expire. Links may be revoked — for example, on a refund or a chargeback. We may record download activity, including download counts and timestamps, to operate and protect this service. Claiming a free file requires a logged-in account and acceptance of the applicable license.

7. License to digital goods and intellectual property

Digital files are licensed, not sold. When you purchase or claim a file, you receive a license to use that file under the terms of our License; you do not acquire ownership of the file or of any underlying intellectual property. All content on the Site — including model files, designs, text, images, and the Baud Runner name and marks — is owned by Defensible Logic, Inc. or its licensors and is protected by intellectual-property laws.

Except as expressly permitted by the License, you may not:

  • redistribute, resell, sublicense, share, or publish licensed files, whether for free or for a fee;
  • circumvent, disable, or reverse engineer download limits, expiry, tokenization, or other technical restrictions on the files or the Site;
  • use the Site or any file in violation of applicable law or in a way that infringes the rights of others.

8. Shipping of physical goods

We ship physical goods that we hold in finite stock. Available shipping options and their cost are shown at checkout. Carriers, handling and processing time, delivery estimates, domestic versus international availability, customs and duties, and the handling of lost packages are set out in our Shipping policy, which governs the shipment of physical goods. Risk of loss and title to physical goods pass to you when the carrier delivers the package to the address you provided.

9. Refunds, returns, and disputes

Our full Refunds & Returns policy governs this Section; the following is a summary.

  • Digital goods are generally non-refundable once the download has been made available or accessed, because they cannot be returned. We may make exceptions at our discretion.
  • Physical goods may be returned in accordance with the Refunds & Returns policy, within 30 days of delivery, in original resalable condition, with no restocking fee, after requesting a return authorization (RMA) from us. Returning an item and issuing a refund are handled as separate steps.
  • Refunds for physical goods paid through Stripe are issued via Stripe to the original payment method.
  • Chargebacks and payment disputes are handled through Stripe. Initiating a chargeback may result in revocation of any digital download links associated with the disputed order.

10. Acceptable use

You agree not to misuse the Site, including by attempting to gain unauthorized access to accounts or systems, interfering with the Site's operation or security, scraping or harvesting data beyond normal use, or using the Site to violate any law or the rights of any person. We may suspend or terminate access for conduct that breaches these Terms.

11. Disclaimer of warranties

The Site and all goods are provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Some files are offered free of charge; all digital files, free and paid, are provided "AS IS", without warranty of any kind, express or implied. You are responsible for verifying the fitness and safety of any file for your intended use, including the printing, machining, assembly, and operation of any resulting object.

12. Limitation of liability and waiver

To the maximum extent permitted by law, by downloading or otherwise using any digital file you accept all risk arising from its use — including the printing, machining, assembly, and operation of any resulting object — and you waive and release Defensible Logic, Inc. from all liability arising from that use. This waiver applies to all files, free and paid.

To the maximum extent permitted by law, Defensible Logic, Inc. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to the Site or any goods. To the extent we are found liable despite the above, our total aggregate liability for any claim relating to an order will not exceed the amount you paid for that order. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Defensible Logic, Inc. and its officers, employees, and agents from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your use of the Site or any file, your breach of these Terms or the License, or your violation of any law or the rights of any third party.

14. Changes to these Terms and to the Site

We may update these Terms from time to time. When we do, we will revise the "Last updated" date on this page. Changes take effect when posted, and your continued use of the Site after that constitutes acceptance of the revised Terms. We may also modify, suspend, or discontinue any part of the Site or any goods at any time, with or without notice.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be resolved in the state or federal courts located in Wyoming. If you reside in a region with mandatory consumer-protection rights — such as the EU, the UK, and certain U.S. states (such as California) — nothing in these Terms limits any rights you have that cannot be waived under applicable law.
